Terms of Service
Effective date: September 1, 2025
Entity: CoCreX LLC (“CoCreX,” “we,” “our,” “us”)
Sites & Services: cocreu.com (storefront), cocreu.com/moodle (learning portal), and related subpages (collectively, the “Services”).
1. Acceptance
By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.
2. Eligibility
The Services are intended for users 16+ years old (or the age of majority in your locale). By using the Services, you represent that you meet this requirement and have authority to bind your organization (if purchasing on its behalf).
3. Accounts & Single Sign-On (SSO)
You must create an account at cocreu.com to purchase and access learning content. For enrolled products, we provision access to cocreu.com/moodle via SSO from your cocreu.com account. You are responsible for safeguarding your credentials and for all activity on your account.
4. Purchases, Pricing, Taxes, and Payment
Prices are listed in USD and may change without notice. You authorize us and our payment processor (e.g., Stripe) to charge your payment method for all purchases, including applicable taxes. We do not store full card details.
5. Delivery & Access
All products are digital. Upon successful payment and order completion, course access is provisioned to your account (and to Moodle via SSO, where applicable). If you do not see access within 30 minutes, contact support at cocrex.com.
6. Refunds & Cancellations
- Self-paced courses/certifications: 7-day refund window if less than 20% of course content has been completed.
- Live sessions (e.g., AMAs, labs): Non-refundable once delivered or attended.
- Services (e.g., Diagnostic Sprint, Transformation Lab): Non-refundable after kickoff; rescheduling requires 5 business days notice.
To request a refund, email billing at cocrex.com with your order number.
7. Intellectual Property & License
Unless expressly stated, all content (courses, videos, documents, tools, frameworks, assessments) is owned by CoCreX or its licensors. Upon purchase, you receive a limited, non-exclusive, non-transferable, revocable license for personal or internal organizational use. You may not copy, share, resell, sublicense, publicly perform, or distribute content without written permission.
8. Use Rules (Prohibited Conduct)
You agree not to:
- Circumvent access controls; share your login; or bulk-download content.
- Record or redistribute live sessions without written consent.
- Misuse forums or live sessions (harassment, spam, illegal content).
- Reverse engineer, scrape, or interfere with the Services’ operation.
We may suspend or terminate access for violations.
9. Certifications & Assessments
Where a course offers a certificate, you must meet the stated completion and assessment criteria. We may update rubrics, criteria, or badge designs over time.
10. Changes & Availability
We may modify, suspend, or discontinue parts of the Services (including course syllabi and features) with reasonable notice where practicable. We are not liable for outages caused by third-party platforms, maintenance, or events beyond our control.
11. Third-Party Services
The Services integrate third-party tools (e.g., Stripe for payments, Moodle for learning, BigBlueButton for live sessions, Calendly for scheduling, Amazon SES for email). Your use of those tools may be subject to their terms and privacy policies.
12. Disclaimers
THE SERVICES AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, COCREX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED (INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT). WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT OUTCOMES FROM USING THE CONTENT WILL MEET YOUR EXPECTATIONS.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COCREX AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO COCREX IN THE 6 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
14. Indemnification
You agree to defend, indemnify, and hold harmless CoCreX from any claims, damages, liabilities, and expenses arising out of your misuse of the Services or violation of these Terms.
15. Governing Law; Dispute Resolution
These Terms are governed by the laws of the Commonwealth of Pennsylvania (USA), without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Philadelphia County, Pennsylvania, and you consent to their jurisdiction. You and CoCreX waive trial by jury. (If your organization requires an arbitration clause or venue change, a separate written agreement will control.)
16. Changes to Terms
We may update these Terms periodically. Changes take effect when posted with a revised “Effective date.” Your continued use indicates acceptance.
